Agreement conditions

 

The Grantor offers the Total scholarship amount (above, the Grant) to the Grantee subject to the following conditions:

  1. The Grantee must use the Grant exclusively for the charitable purposes stated in Part A of the Schedule ("Specified Purposes") and must hold the Grant upon trust for The Grantor until the Grant is from time to time used for the Specified Purposes.
  2. Unless the Grantor otherwise consents in writing, any part of the Grant not used for the Specified Purposes before the end of the calendar year in which this Agreement is signed must be returned to the Grantor.
  3. The Grantee must immediately return all or any part of the unused Grant to the Grantor if requested by the Grantor in circumstances where the Grantor reasonably forms the view that the Grant is not or will not be used for the Specified Purposes or is otherwise being used contrary to the purpose of the Grant.
  4. The Grantee must provide a written report on the use of the Grant for the Specified Purposes which the Grantor and/or Bendigo and Adelaide Bank Limited may include or refer to in reports or publications. The Grantee's report must state how the Grant has been spent; outline the outcomes and achievements of the Specified Purposes; and be provided to the Grantor no later than 31 December of the calendar year in which this Agreement is signed or as otherwise notified by the Grantor. The Grantee will provide such further information as may be reasonably requested from time to time by the Grantor.
  5. The Scholarship Program Name is to be used by the Grantee in connection with the Specified Purposes whenever published or publicly referred to by the Grantee and the Grantee must acknowledge the support of the Grantor and Bendigo and Adelaide Bank Limited in all publications, press releases and interviews describing or referring to the Specified Purposes. The words "funded by the Community Enterprise Foundation™" and the Grantor logo which the Grantor shall provide should appear on the front page of all publications and press releases.
  6. The Grantee grants to the Grantor and Bendigo and Adelaide Bank Limited an irrevocable, royalty-free, non-exclusive licence to use all information relevant to or arising from the Specified Purposes irrespective of the form it takes including software, promotional, educational, training, research and reporting material. If requested by the Grantor, the Grantee will bring into existence, sign, execute or otherwise deal with any document that is required to give effect to this clause.
  7. The Grantee represents and warrants to the Grantor that its interest in the information and materials referred to above does not breach any intellectual property ownership rights of any third party.
  8. To the fullest extent permitted by law, the Grantor is not liable for any loss (including consequential loss) caused by or resulting from the Grantee's use of the Grant, any breach of this Grant Agreement by the Grantee, or any wrongful, wilful or negligent act or omission by the Grantee or any of its employees, agents or contractors.
  9. The Grantee indemnifies the Grantor from and against all liabilities, claims, losses, damages, costs and expenses (including legal fees) which the Grantee or any other person may incur or suffer of or in connection with or incidental to the use of the Grant, any breach of this Grant Agreement by the Grantee, or any wrongful, wilful or negligent act or omission by the Grantee or any of its employees, agents or contractors.
  10. In the event the Grantee's circumstances change, (including but not limited to the Grantee ceasing to be a student in the course of study for which the Grant has been made; ceasing to study at all, changing their name; changing their contact information; or receiving other financial assistance related to their education) the following shall apply:
    1. the Grantee must immediately notify the Grantor of the change in circumstances;
    2. the Grantee may be required to repay the Grant (either in full or on a pro-rata basis) to the Grantor, at the Grantor's absolute discretion;
    3. the Grantee may not be entitled to receive any further monies, unless otherwise decided by the Grantor.
  11. The Grantee must:
    1. provide to the Grantor an official transcript of academic results as soon as available at the conclusion of each academic year, for the duration of this scholarship. Plus confirmation of the continuation of studies if applicable. The Grantee acknowledges and agrees that if this requirement is not met, then at the discretion of the Grantor, the Grantee may be required to refund all or part of the Grant monies already received. The Grantee also acknowledges that no further monies will be paid until satisfactory academic results are provided to the Grantor;
    2. Provide a breakdown of expenditure at the end of each academic year. Evidence of all invoices and receipts may be requested at the discretion of the Grantor.
  12. The Grantee must not represent themselves as being an employee, partner or agent of the Grantor or its funding partners.
  13. The Grantee acknowledges that the Grant does not constitute and is not associated with any offer of employment from the Bendigo and Adelaide Bank Limited and/or the Grantor.
  14. The Grantee acknowledges that any personal income tax implications associated with receipt of the Grant is entirely their responsibility and that they are responsible for seeking their own financial advice.
  15. The Grantee agrees to fulfil the minimum requirements of the relevant education provider in relation to the academic content of courses, academic progress and conduct. The Grantee also agrees to meet the minimum pass requirements to satisfy those subjects undertaken in the calendar year in which this Agreement is signed. In the event the Grantee does not comply with this clause, the Grantee may not be entitled to receive any further monies, unless otherwise decided by the Grantor.
  16. Continuation of funding is conditional of the completion of Clause 11.

Specified purposes - Part A

The Grantee will use the whole grant exclusively for study related purposes as described in the criteria of the Grant and not for any other purpose. Study related expenses include: Accommodation, course related fees, text books, study related travel within Australia, and study related material / equipment. The Grantee must provide a detailed breakdown for the expenditure of the grant to the value of the funds provided to allow the Grantor and/or Bendigo and Adelaide Bank Limited any other interested person to verify the expenditure.
